1. Acceptance of Terms

These Terms of Service (“Terms”) govern the access to and use of the APIARIES platform, website, applications, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.

If you are accepting these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization.

2. Description of Services

APIARIES is a Software-as-a-Service (SaaS) platform that provides membership management, subscription management, event management, document management, payment processing integrations, communication tools, website integrations, and related services.

Features may vary depending on the subscribed package.

3. Account Registration

Users must provide accurate and complete information during registration.

You are responsible for:

  • Maintaining account confidentiality;
  • Protecting login credentials;
  • All activities conducted under your account.

You must immediately notify APIARIES of any unauthorized access or security breach.

4. Communications

By creating an account or using the Services, you agree to receive service-related communications including account notifications, billing notices, renewal reminders, security alerts, and operational messages.

Marketing communications may be sent where permitted by applicable law. Users may opt out of marketing communications at any time.

5. Subscription and Fees

Access to certain Services requires an active subscription.

Subscription fees:

  • Are billed in advance;
  • May be monthly or annual;
  • Are exclusive of applicable taxes unless stated otherwise.

Failure to pay may result in suspension or termination of Services.

6. Renewals

Subscriptions may automatically renew unless cancelled before the renewal date.

Customers are responsible for managing their subscription settings and renewal preferences.

7. Customer Data Ownership

Customers retain ownership of all data uploaded, entered, or stored within the platform.

APIARIES does not claim ownership of customer data.

Customers grant APIARIES a limited right to process such data solely for providing the Services.

8. Customer Content

Customers retain ownership of all content uploaded to the Services.

Customers represent and warrant that they possess all necessary rights, permissions, and authority to upload, process, and distribute such content through the Services.

9. Customer Responsibilities

Customers are responsible for:

  • Accuracy of submitted information;
  • Compliance with applicable laws;
  • Obtaining all necessary consents;
  • Maintaining copies of critical records;
  • Managing users within their organization.

10. Acceptable Use

Customers shall not:

  • Upload unlawful content;
  • Distribute malware;
  • Attempt unauthorized access;
  • Interfere with platform operations;
  • Use the Services for fraudulent activities;
  • Infringe intellectual property rights.

APIARIES reserves the right to suspend accounts violating this section.

11. Third-Party Services

The Services may integrate with third-party providers including but not limited to:

  • Stripe
  • SGePay
  • Brevo
  • SMTP providers
  • WordPress
  • Cloud hosting providers

APIARIES is not responsible for the availability, functionality, security, or performance of third-party services.

Any disruption caused by third-party providers shall not constitute a breach by APIARIES.

12. Service Availability

APIARIES will use commercially reasonable efforts to maintain service availability.

However, the Services are provided on an “as available” basis.

APIARIES does not guarantee:

  • Uninterrupted operation;
  • Error-free operation;
  • Continuous availability;
  • Compatibility with all third-party systems.

Scheduled maintenance may occasionally require temporary service interruptions.

13. Data Backup and Recovery

APIARIES may perform routine backups as part of normal operations.

However:

  • Backups are not guaranteed;
  • Backup restoration is not guaranteed in all circumstances;
  • Customers remain responsible for maintaining copies of critical data and records.

APIARIES shall not be liable for loss, corruption, or unavailability of customer data.

14. Intellectual Property

All rights, title, and interest in the APIARIES platform, software, branding, documentation, and related materials remain the exclusive property of APIARIES and its licensors.

No ownership rights are transferred to customers.

15. Confidentiality

Each party agrees to maintain the confidentiality of non-public information received from the other party.

Confidential information shall not be disclosed except where required by law.

16. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

APIARIES disclaims all warranties, whether express or implied, including warranties of:

  • Merchantability;
  • Fitness for a particular purpose;
  • Non-infringement;
  • Availability;
  • Reliability.

17. Limitation of Liability

To the maximum extent permitted by law:

APIARIES shall not be liable for:

  • Indirect damages;
  • Consequential damages;
  • Loss of profits;
  • Loss of revenue;
  • Loss of business opportunities;
  • Loss of goodwill;
  • Loss of data.

The total aggregate liability of APIARIES arising out of or relating to the Services shall not exceed the total subscription fees paid by the customer during the twelve (12) months preceding the event giving rise to the claim.

18. Indemnity

Customers agree to indemnify and hold harmless APIARIES, its officers, directors, employees, and affiliates against claims arising from:

  • Customer content;
  • Customer misuse of the Services;
  • Violation of applicable laws;
  • Violation of these Terms.

19. Suspension and Termination

APIARIES may suspend or terminate access where:

  • Fees remain unpaid;
  • Terms are violated;
  • Security risks are identified;
  • Required by law.

Upon termination, access to Services may be disabled.

Customers should export their data prior to termination where necessary.

Customers may request export of their data within thirty (30) days following termination, subject to applicable subscription status and technical limitations.

Thereafter, APIARIES may permanently delete customer data without further notice.

20. Force Majeure

APIARIES shall not be liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters;
  • Power outages;
  • Internet failures;
  • Cyberattacks;
  • Government actions;
  • Third-party service disruptions.

21. Changes to Services

APIARIES reserves the right to modify, enhance, replace, or discontinue features at any time.

Reasonable efforts will be made to provide advance notice for material changes.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore.

23. Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be resolved through good faith negotiations.

If unresolved, the dispute shall be subject to the exclusive jurisdiction of the courts of Singapore.
